                            Director's shareholding


Mr Alan Smith, a non executive director of the Company, has today exercised
options over 25,000 ordinary shares of 10p each, held by the Colefax Group Plc
Employee Share Ownership Trust. The aggregate exercise price of the share
options is £1 in total. Following this exercise, Mr Smith will hold 45,000
shares representing 0.29% of the issued share capital.
